United Building Solutions (UBS) has acquired McCarl's Services Inc., a commercial and industrial HVAC and refrigeration specialist operating across western Pennsylvania, eastern Ohio, and northern West Virginia. Announced April 23, 2026, the transaction extends UBS's consolidation strategy into the Mid-Atlantic industrial corridor and adds one of the region's largest service-focused HVAC operators to a platform backed by private equity firm AE Industrial Partners.

Background

The acquisition is UBS's third add-on deal since AE Industrial Partners established the company as a national commercial HVAC platform in 2025. Prior transactions included the concurrent acquisition of Total Comfort Solutions in North Florida and, in January 2026, DFW Mechanical Group - a full-service mechanical contractor operating across Texas, Oklahoma, Georgia, and Florida. Together, those transactions expanded UBS's footprint from three Mid-Atlantic states to 11 markets spanning the Northeast, Midwest, Southeast, and South-Central United States.

The pace of deal-making reflects broader consolidation pressures in the commercial HVAC service channel. Fragmented regional operators are increasingly targeted by national platforms seeking scale, technical depth, and recurring service revenue in critical-facility markets.

McCarl's Services Inc., headquartered in Cranberry Township, Pennsylvania, was founded in 1946 and carries over 80 years of experience in commercial HVAC, refrigeration, and mechanical services. The company serves clients in healthcare, manufacturing, energy, and commercial real estate across western Pennsylvania, eastern Ohio, and northern West Virginia.

McCarl's will operate as a division of UBS under the continued leadership of its president, Mike McCarl. "Having served the western-Pennsylvania region for three generations, joining UBS' rapidly expanding network will allow us to enhance our capabilities and accelerate growth," McCarl said in the company's official statement.

David Leathers, CEO of United Building Solutions, cited the company's longevity as a key factor: "Since its founding in 1946, McCarl's has built a strong regional reputation for its commitment to service and excellence," Leathers stated. Bryan McElwee, partner at AE Industrial, framed the deal in terms of national infrastructure demand, stating the integration marks progress toward "a nationally-scaled commercial HVAC platform that can meet the growing demands for comprehensive mechanical services for mission-critical infrastructure."

UBS describes itself as serving more than 2,000 customers across the United States, with over 30 years of operational experience in HVAC, building analytics, and building controls.

Outlook

The McCarl's acquisition signals that UBS is actively expanding into industrial and healthcare-adjacent service markets - segments with high reliability requirements and long-term service contract potential. With 11 markets now covered and private equity capital deployed, further regional add-on acquisitions are likely as the platform pursues national scale.
